Mesa Status at 7:30 AM, March 24

It looks like the roads are clearing up early and several people have made it into work this morning.  The office will be open today for those of you who can make it in. 

 

The status of production:

It is optional to come in today.  Both Rex and Phil are in the office.  We will be working a full crew in production on Saturday to catch up (weather permitting!).

Office Closed Wednesday, March 24, 2010

Greetings,

Well, it appears that the snow storm is only going to get worse overnight and tomorrow morning, so I would like everyone to stay home and stay safe.  IF the storm suddenly subsides and it looks like we can make it into work and put in a partial day on Wednesday, I will post another blog, so please check back mid-morning.

 

Since it is the end of our fiscal year, I would like everyone to plan on working this Saturday to make up for the lost hours.  We may also have to put in some extra hours in the remaining weekdays, depending on how orders and shipments are progressing.  If you have any questions or concerns, don’t hesitate to call me at 925-408-4656.

Plant Status - 10/29/09 7:50 am

The plant in Lakewood is currently open, and I expect that we will run a normal day of operation today given the number of people that have already arrived.  If you have not been out, you should find that the main streets have been well maintained through the night.  The traffic so far this morning has been a little slow and lighter than normal.  Again, we are assuming that most people are coming in to work today so if this is not the case for you, you will need to alert your supervisor.  At this point, I am unsure if we will have the plant open for make up time on Saturday or not.  I will make an additional announcement once a decision is made.

Plant Status Update - 6:30 am

The plant is currently open and Phil Burry is now on site.  Phil Reports that the roads between his home and Mesa are plowed and very passable.  The parking lot at Mesa has also been plowed.  If you can get out of your neighborhood you should be able to make the commute into Mesa this morning.

Currently, Phil Burry is in transit to the plant so we expect the plant to be open by 7:00 am.  We expect that people in certain areas of town may have more difficulty reaching work than others.  If you cannot, reach work today please make sure you alert your supervisor later this morning.  Please watch this site for further updates.

Mesa Status - March 27, 2009

Mesa Status as of 5:00 AM on Friday, March 27:
It appears that the snow will subside this morning.  Mesa will be open from 6:00 AM to 6:00 PM.  Unless you are confident about your ability to get into the office early, it is suggested that all employees work from 9:30 AM to 6:00 PM, as the roads should improve later in the morning.  If for any reason you cannot make it to work, please call your supervisor.  Since we have only a few days left before the end of the quarter, the office will also be open on Saturday (at least till noon, but maybe later) so we can maximize shipments for the month.  We appreciate your efforts in helping us close out a successful quarter and fiscal year!

While the main road conditions seem to be under control, it looks like this storm will keep coming all day today. For this reason, we will be closed today at the Lakewood plant. For those of you in sales, the computer systems should be up and running and available to you.

Currently, while it is still snowing quite heavily, the snow accumulation here on the north side of town is not that bad. I would like to keep the plant open tomorrow for those of you that can make it in, but we will need to wait until tomorrow morning to make a final decision. President's Radio Address on Nov. 4TH Highlights Mesa Labs

New Staff Members

We have made several new hires in the past few weeks.

In the Datatrace production and service area we have added Kelly Tann to our team to take over the calibration duties. Kelly started his new position on, Tuesday May 17, 2005.

In the Datatrace sales area, we are endeavoring to expand our domestic sales through wider direct selling. To advance this strategy we are bringing two new direct sales reps on the team. John Daly, who resides in the Philadelphia, Pennsylvania area will be taking over the Northeast region of the country, while Chris Yankee, who resides near the Raleigh-Durham area of North Carolina will be taking over the Southeast region of the country. Owen Israelsen who has been managing our independent reps in both of these areas will be taking over the Midwest area on a direct basis. Rounding out our sales team will be Dale Ashley, who will continue to represent Datatrace on an exclusive basis as an independent rep in the western United States. John and Chris have both started on June 6, 2005, and will be in the office their first week for their initial product training.

INTERPHEX 2005 – NEW YORK CITY, NY

The Datatrace marketing team recently attended Interphex 2005 in New York, and Loretta has been kind enough to give us a short report on how the show went.

The DataTrace Division exhibited at the Interphex 2005 show in New York City at the Jacob Javits Convention Center the last week of April. This is THE major pharmaceutical trade show in the industry. Pharmaceutical companies such as Baxter Healthcare, Merck, Schering Plough, and Wyeth, to name just a few, attended this show to find the latest ideas, products and solutions for the entire scope of the pharmaceutical business, presented by more than 954 exhibitors. Many of these companies already own a DataTrace system and made a point of stopping by our booth to let us know that they love our product!

Owen, John and Loretta were there to greet existing customers, meet potential new customers and scope out the competition. Once upon a time, DataTrace was the only player in the market. Nowadays there are many “me too” products on the market, but several of these new competitors are making a less expensive, limited features data logger that can’t withstand the process our customers submit our Tracers to. Nor can they adequately provide the support these customers require. The DataTrace Tracer is considered the “Cadillac” of the industry.

This year the show was average compared to previous years. We obtained slightly fewer leads than normal, but it only takes one or two good leads to make this a successful show as a typical order from a pharmaceutical customer can easily exceed $25,000 or more! Thanks to everyone here at Mesa for helping make the show a success by continuing to offer the highest quality and innovative product we can!

As most of you probably know, one of our larger customers for medical products, Davita, announced that it would be acquiring another of our large customers, Gambro.

Today comes news that Fresenius will be acquiring Renal Care Group. Both of these dialysis providers are also important customers. You can read more on this latest announcement here and here.

Margaret on the ANNA Convention

The folks in Medical Sales recently attended the annual ANNA Convention. The following is a short update on how the show went from Margaret.


ANNA CONVENTION

The Medical Division attended the 36th Annual ANNA (American Nephrology Nurses' Association) National Symposium which was held April 18th - April 20th at the MGM Grand Hotel in Las Vegas, NV. This is one of two very beneficial conventions that the Medical Division attends annually. The ANNA was established in 1969 and has a membership of 11,900 nurses and other nephrology health care professionals.

The ANNA Convention is essential for Mesa to attend for two important reasons. Firstly, many of these nurses are our customers and use our pHoenix, HYDRA and NEO-STAT+ meters on a daily basis. Secondly, almost all of the other nephrology and hemodialysis equipment manufacturers in the business also attend this symposium. Therefore, it is a great opportunity for us to meet our customers face to face, view our competitors products and stay informed about any new products that are being introduced into the hemodialysis market.

This year, Mesa was represented at ANNA by Bernadine, Bruce, John, Luke and Margaret. We greeted our customers at our booth, demonstrated our products, answered questions and obtained sales leads. As usual, it was a successful meeting and it was gratifying to hear how pleased our customers are with the Mesa meters, solutions and accessory products. On behalf of all of us who attended this convention, we would like to extend our sincere thanks to everyone involved in the Medical Division's production, quality assurance, service, purchasing and engineering departments for providing our customers with excellent products and service.
Note: I want to thank Margaret for sharing her experience at the show. Both Margaret and Bernadine have many dedicated customers who make a special effort to come and meet them at these shows. Part of that dedication comes from their hard work, but part of it comes from the extra effort that everyone here at Mesa makes for our customers. Thanks to Everyone!!!

Voice Mail

As we are coming around the bend on this phase of the server upgrade project, I have set the schedule for installation of the new voice mail system. This project will take place on Monday, April 18, 2005. The technicians will do the setup all day on Monday and will bring the new system on line after hours that day. They will be in for 2 - 3 hours on Tuesday to address any problems.

There should be no disruptions to the voice mail while they work. You will need to get all of your messages off the old system since saved messages will not transfer to the new system when we cut it over on Monday evening. You will also have to reinitialize your voice mail box on Tuesday morning. The new system is an upgrade so the new system will function the same as the old (1 for yes, 2 for no, etc.).

Remember, if you experience any problems with the system, Tuesday morning will be the time to ask.

Weather Update

I can see by the site meter on this Blog page that a number of you have been checking in today. The streets here on the northwest side of town were pretty clear in the early evening although it is snowing once again. I suspect that the plant will be open tomorrow, but if any of you live in an area that is being more heavily impacted by the storm, you should plan to call in your situation to your supervisor.

Hopefully our renown weather forecasters will be correct and we will not be dealing with too much more snow in the morning. If there is a change in the plant status, I will try and get it up by 6:00 am.

CODE OF BUSINESS CONDUCT AND ETHICS

Introduction

This Code of Business Conduct and Ethics covers a wide range of business practices and procedures. It does not cover every issue that may arise, but it sets out basic principles to guide all employees of the Company. All of our employees must conduct themselves accordingly and seek to avoid even the appearance of improper behavior. The Code should also be provided to and followed by the Company’s agents and representatives, including consultants.

If a law conflicts with a policy in this Code, you must comply with the law; however, if a local custom or policy conflicts with this Code, you must comply with the Code. If you have any questions about these conflicts, you should ask your supervisor how to handle the situation.

Those who violate the standards in this Code will be subject to disciplinary action. If you are in a situation that you believe may violate or lead to a violation of this Code follow the guidelines described in Section 14 of this Code.

1. Compliance with Laws, Rules and Regulations

Obeying the law, both in letter and in spirit, is the foundation on which this Company’s ethical standards are built. All employees must respect and obey the laws of the cities and states in which we operate. Although not all employees are expected to know the details of these laws, it is important to know enough to determine when to seek advice from supervisors, managers or other appropriate personnel.

The Company holds information and training sessions to promote compliance with laws, rules and regulations, including insider trading laws.

2. Conflicts of Interest

A “conflict of interest” exists when a person’s private interest interferes in any way with the interests of the Company. A conflict situation can arise when an employee, officer or director takes actions or has interests that may make it difficult to perform his or her Company work objectively and effectively. Conflicts of interest may also arise when an employee officer or director, or members of his or her family, receives improper or personal benefits as a result of his or her position in the Company. Loans to, or guarantees of obligations of employees and their family members may create conflicts of interest.

It is almost always a conflict of interest for a Company employee to work simultaneously for a competitor, customer or supplier. Accordingly, you are not allowed to work for a competitor as a consultant or board member. The best policy is to avoid any direct or indirect business connection with our customers, suppliers or competitors, except on our behalf.

Conflicts of interest are prohibited as a matter of Company policy, except under guidelines approved by the Board of Directors. Conflicts of interest may not always be clear-cut, so if you have a question, you should consult with higher levels of management or the Company’s Chief Financial Officer. Any employee, officer or director who becomes aware of a conflict or potential conflict should bring it to the attention of a supervisor, manager or other appropriate personnel or consult the procedures described in Section 14 of this Code.

3. Insider Trading

Employees who have access to confidential information are not permitted to use or share that information for stock trading purposes or for any other purpose except the conduct of our business. All non-public information about the Company should be considered confidential information. To use non-public information for personal financial benefit or to “tip” others who might make an investment decision on the basis of this information is not only unethical but also illegal. For more information, please refer to the Company’s Insider Trading Policy. If you have any questions, please consult the Company’s Chief Financial Officer.

4. Corporate Opportunities

Employees, officers or directors are prohibited from taking for themselves personally opportunities that are discovered through the use of any Company property, information or position without the consent of the Board of Directors. No employee may use any Company property, information or position for improper personal gain, and no employee may compete with the Company directly or indirectly. Employees, officers or directors owe a duty to the Company to advance its legitimate interests when the opportunity to do so arises.

5. Competition and Fair Dealing

We seek to out perform our competition fairly and honestly. We seek competitive advantages through superior performance, never through unethical or illegal business practices. Stealing proprietary information, possessing trade secret information that was obtained without the owners consent or inducing such disclosures by past or present employees of other companies is prohibited. Each employee should endeavor to respect the rights of and deal fairly with the Company’s customers, suppliers, competitors and employees. No employee should take unfair advantage of anyone through manipulation, concealment, abuse of privileged information, misrepresentation of material fact or any other intentional unfair-dealing practice.

To maintain the Company’s valuable reputation, compliance with our quality process and safety requirements is essential. In the context of ethics, quality requires that our services be designed to meet our obligations to customers. All services must be performed in accordance with all applicable regulations.

The purpose of business entertainment and gifts in a commercial setting is to create good will and sound working relationships, not to gain unfair advantage with customers. No gift or entertainment should ever be offered, given, provided or accepted by any Company employee, family member of an employee or agent unless it: (1) is not a cash gift, (2) is consistent with customary business practices, (3) is not excessive in value, (4) cannot be construed as a bribe or payoff and (5) does not violate any laws or regulations. Please discuss with your supervisor any gifts or proposed gifts which you are not certain are appropriate.

6. Discrimination and Harassment

The diversity of the Company employees is a tremendous asset. We are firmly committed to providing equal opportunity in all aspects of employment and will not tolerate any illegal discrimination or harassment of any kind. Examples include derogatory comments based on racial or ethnic characteristics and unwelcome sexual advances.

7. Health and Safety

The Company strives to provide each employee with a safe and healthy work environment. Each employee has responsibility for maintaining a safe and healthy workplace for all employees by following safety and health rule and practices and reporting accidents, injuries and unsafe equipment, practices or conditions.

Violence and threatening behavior are not permitted. Employees should report to work in condition to perform their duties, free from the influence of illegal drugs, prescription drugs that impair performance or judgment and alcohol. The use of illegal drugs in the workplace will not be tolerated.

8. Record-Keeping

The Company requires honest and accurate recording and reporting of
information in order to make responsible business decisions. For example, only the true and actual number of hours worked should be reported.

Many employees regularly use business expense accounts, which must be documented and recorded accurately. If you are not sure whether a certain expense is legitimate, ask your supervisor or your controller. Rules and guidelines are available from the Accounting Department.

All of the Company’s books, records, accounts and financial statements must be maintained in reasonable detail, must appropriately reflect the Company’s transactions and must conform both to applicable legal requirements and to the Company’s system of internal controls. Unrecorded or “off the books” funds or assets should not be maintained unless permitted by applicable laws or regulation.

Business records and communications often become public, and we should avoid exaggeration, derogatory remarks, guesswork or inappropriate characterizations of people and companies that could be misunderstood. This applies equally to email, internal memos and formal reports. Records should always be retained or destroyed according to the Company’s record retention policies. In accordance with those policies, if litigation or a governmental investigation exists or is likely, please consult the Company’s Chief Financial Officer.

9. Confidentiality

Employees must maintain the confidentiality of confidential information entrusted
to them by the Company or its customers, except when disclosure is authorized by the Chief Financial Officer or required by laws or regulations. Confidential information includes all non-public information that might be of use to competitors, or harmful to the Company or its customers, if disclosed. It also includes information that suppliers and customers have entrusted to us. The obligation to preserve confidential information continues even after employment ends.

10. Protection and Proper Use of Company Assets

All employees should endeavor to protect the Company’s assets and ensure their
efficient use. Theft, carelessness and waste have a direct impact on the Company’s profitability. Any suspected incident of fraud or theft should be immediately reported to the Chief Financial Officer for investigation. Company equipment should not be used for non-Company business, though incidental personal use may be permitted.

The obligation of employees to protect the Company’s assets includes its proprietary information. Proprietary information includes intellectual property such as trade secrets, patents, trademarks and copyrights, as well as business, marketing and service plans, ideas, designs, databases, records, salary information and any unpublished financial data and reports. Unauthorized use or distribution of this information would violate Company policy and may also be illegal and result in civil or even criminal penalties.

11. Payments to Government Personnel

The U.S. government has a number of laws and regulations regarding business gratuities which may be accepted by U.S. government personnel. The promise, offer or delivery to an official or employee of the U.S. government of a gift, favor or other gratuity in violation of these rules would not only violate Company policy but could also be a criminal offense. State or local governments, as well as foreign governments, may have similar rules. The Company’s Chief Financial Officer can provide guidance to you in this area.

In addition, the U.S. Foreign Corrupt Practices Act prohibits giving anything of value, directly or indirectly, to officials of foreign governments or foreign political candidates in order to obtain or retain business. The Company strictly prohibits any illegal payment to government officials of any country.

12. Waivers of the Code of Business Conduct and Ethics

Any waiver of this Code for executive officers or directors may be made only by the Board or Board committee and will be promptly disclosed as required by law or stock exchange regulation.

13. Reporting any Illegal or Unethical Behavior

Employees are encouraged to talk to supervisors, managers or other appropriate personnel about observed illegal or unethical behavior and when in doubt about the best course of action in a particular situation. The Company will not allow retaliation for reports of misconduct by others made in good faith by employees. Employees are expected to cooperate in internal investigations of misconduct.

14. Compliance Procedures

We must all work to ensure prompt and consistent action against violations of this Code. However, in some situations it is difficult to know right from wrong. Since we cannot anticipate every situation that will arise, it is important that we have a way to approach a new question or problem. These are the steps to keep in mind:

Make sure you have all the facts. In order to reach the right solutions, we must be as fully informed as possible.

Ask yourself: What specifically am I being asked to do? Does it seem unethical or improper? This will enable you to focus on the specific question you are faced with, and the alternatives you have. Use your judgment and common sense; if something seems unethical or improper, it probably is.

Clarify your responsibility and role. In most situations, there is shared responsibility. Are your colleagues informed? It may help to get others involved and discuss the problem.

Discuss the problem with your supervisor. This is the basic guidance for all situations. In many cases, your supervisor will be more knowledgeable about the question, and will appreciate being brought into the decision-making process. Remember that it is your supervisor’s responsibility to help solve problems.

Seek help from Company resources. If you do not feel that it is appropriate to discuss an issue with your supervisor, or where you do not feel comfortable approaching your supervisor with your question, discuss it locally with your office manager or your Human Resources manager. If that also is not appropriate, you may call, email or write Steven W. You may report ethical violations in confidence and without fear of retaliation. If your situation requires that your identity be kept secret, your anonymity will be protected. The Company does not permit retaliation of any kind against employees for good faith reports of ethical violation. Please report by calling Mr. Michael Brooks, Director and Audit Committee Member, at (303) 431-3600 Ext. 122.

Always ask first, act later: If you are unsure of what to do in any situation, seek guidance before you act.

15. Accounting and Auditing Matters

Employees are encouraged to submit any concerns or complaints that they may have regarding accounting, internal accounting controls or auditing matters to the Company. Employees may submit such concerns or complaints on a confidential, anonymous basis by submitting such concerns or complaints to the audit committee of the Company by calling the Company’s reporting hotline at (303) 431-3600 Ext. 122.

Network Upgrades

We are planning several upgrades to our network system, including a new application server, backup system and an update to our virus checking system. In addition, we expect to provide additional storage space on the network, and we will be upgrading to the newest version of Mas200. Installation of these upgrades will begin in mid-April and progress in stages to minimize disruptions. The upgrade of Mas200 will occur sometime in mid-May to allow us to complete our annual audit work.

I will post further announcements as the schedule becomes further defined.

Voice Mail Upgrade

We have made the decision to trade in the old voice mail system for an upgraded system by the same manufacturer. The new system will allow you to receive notification of your voice mails in your outlook inbox. This should be especially helpful to Margaret and Bernadine since they will receive notifications of messages as they arrive on their computer.

There will be training when the new system is installed, and I will make further announcements as I determine when the new equipment will arrive and be installed.

Out With the Old - In With The New

I am very pleased to announce that we have hired Bruce Linquist to take over the position of Senior Product Manager for the Medical product line. Bruce returns to the company after heading up the Medical sales group back in 1988 and 1989. Bruce’s first day here at Mesa will be Monday, March 28th, which will give him four days to come up to speed on the last sixteen years in dialysis. Fortunately, he will have four days with the highly motivated Jim Rambo before Jim retires and heads off into the sunrise.

Don’t forget that everyone is invited out to Jackson’s All American Sports Grill at 6th and Kipling from 4 – 7 pm on Friday March 25th to celebrate Jim’s retirement. I believe that Jim will be giving lessons on the proper method for sipping Bourbon. We will miss you Jim!
